Guidelines Governing the Use of the Corporate Identity
The following guidelines govern your use of PGN's trademarks, service
marks, logos, and trade names ("PGN Mark" or "PGN Marks"). Your right
to use such PGN Marks was granted pursuant to your PGN Partner Agreement,
as mutually agreed to by you and PGN. In the event that the terms of these
guidelines conflict with such agreement, the terms of such agreement
shall prevail. Before using any PGN Marks, including any PGN logo,
please review your PGN Partner Agreement to ensure that you have the rights
for such use. If your Partner Agreement does not grant you the rights to
use a PGN Mark, you cannot use such PGN Mark in your advertising or
marketing collateral or other materials.
As a PGN Partner, your agreement with PGN and these guidelines do not
give you any ownership rights in the PGN Marks. You acknowledge that
the PGN Marks shall remain the exclusive property of PGN. All goodwill
arising out of your use of the PGN Marks inures to the benefit of PGN.
Your limited right to use the PGN Marks terminates upon the termination
of your respective agreement with PGN.
You are required to submit all advertising or marketing collateral or
other materials referencing PGN or the PGN Marks to your Partner
Representative for PGN's prior written review and approval. If PGN's
approval is granted for such materials, PGN reserves the right to
impose such additional terms and conditions as it deems reasonably
appropriate, and to revoke such approval at any time. In the event that
you fail to follow these guidelines, PGN reserves the right to
disapprove your use of any PGN Mark and require you to discontinue use
of any advertising or marketing collateral or other materials
referencing PGN or the PGN Marks.
In order for you to use the PGN Marks, you must follow the guidelines
set forth herein. PGN retains the right to amend and/or update these
guidelines from time to time. In the event that PGN does update these
guidelines, you must update your advertising or marketing collateral or
other materials within sixty (60) days of PGN's release of an update
and resubmit such materials to PGN for written approval.
Express or Implied Warranties
THE PRODUCTS AND SERVICES PROVIDED BY PACKET GENERAL NETWORKS ARE ON "AS IS" BASIS AND
ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NON-INFRINGEMENT, ARE DISCLAIMED. IN NO EVENT SHALL PACKET
GENERAL NETWORKS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL,
EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR
PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF
LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF PACKET GENERAL
NETWORKS' PRODUCTS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH
DAMAGE.
